Our tax attorneys have long enjoyed a statewide reputation for excellence and sophistication in the areas of tax and employee benefit planning and compliance.  The Department has broad experience in all areas of federal, state, and local taxation; ERISA, executive compensation, pension, and employee benefit plans (for private and governmental employers); tax exempt organizations; and financing transactions.  One of the principal areas of our tax practice is the structuring and planning of significant transactions affecting closely held businesses and their owners to minimize taxes. These transactions include organizations and reorganizations, liquidations, sales, and acquisitions.  Members of the Tax Department have obtained advance rulings from the Internal Revenue Service on the tax consequences of innovative transactions as well as numerous determination letters granting tax-exempt status to nonprofit corporations.
 
Our lead attorney in our Tax and Employee Benefits Department enjoys a state-wide reputation for excellence in performing representation of clients in this complex area. 
 
Members of our Tax Department have recently:
  • Provided comprehensive tax analysis and structural planning for a tax-free spin-off involving a large retail store chain with multiple shareholders, with the transaction passing a subsequent IRS audit without challenge.
     
  • Represented the acquired engineering corporation in a tax-free stock exchange transaction with a multinational conglomerate, providing analysis and advice on alternative nontaxable structures under federal law, S corporation conversion issues, state tax considerations, and individual shareholder planning.
     
  • Served as special pension counsel to the trustee in bankruptcy of one of the state's largest bank holding companies with respect to the final termination of pension and 401K plans covering more than 600 participants.
     
  • Successfully represented commercial real estate partnerships in eliminating or reducing NH business profits tax assessments by the Department of Revenue Administration on appeal.
     
  • Provided continuing counsel to a New Hampshire based manufacturing company, one of the largest employers in the state, concerning the administration of its extensive employee benefits programs under ERISA, the Internal Revenue Code and other state and federal regulations.
     
  • Structured and documented a tax-deferred IRC §1031 like-kind exchange through a third-party intermediary involving an exchange of Alabama real estate for stock in a New York housing cooperative as part of a multi-state sale-leaseback transaction.
     
  • Advised the fiduciaries of Employee Stock Ownership Plans regarding the ERISA and tax law rules governing ESOP loan and stock acquisition transactions involving owners of large closely held corporations.
